Event ticket sales agreement (Public offer at metalist1925.club). Seller: LLC "Professional Football Club "Kharkiv".
1. Definitions
The terms below are used in this document in both singular and plural forms (unless otherwise follows from the meaning of the term or its definition) with the following meanings:
- 1.1. "Season ticket" — a seasonal ticket that grants the right to attend the Seller's events during one season. The price and validity period of the season ticket are stated on metalist1925.com.
- 1.2. "Cancellation" — removal of tickets from an order with their automatic return to free sale in the system. An order that is not paid during the reservation period is automatically canceled after it expires, unless otherwise provided by additional information on the website.
- 1.3. "Ticket" — a document generated using the Seller's automated system on FC Metalist 1925 stationery, which confirms the Buyer's right to attend the event and contains information about the event name, date, time, venue, the seat allocated to the Buyer (sector, row, etc.), the service price, and other legal or technical information.
- 1.4. "Electronic ticket" — a document generated by the Seller's automated system in electronic or paper form that confirms the Buyer's right to attend the event. The electronic ticket contains a barcode or QR code, an order number, the recipient's first and last name, information about the event name, date and venue, the seat allocated to the Buyer, the service price and the service fee amount, as well as other additional legal or technical information. The availability of electronic ticket generation is regulated by the event organizer and/or the Seller and depends on the possibility of using an automated access control system at the venue or obtaining a ticket at sales points before the start of the event in accordance with the terms of this offer.
- 1.5. "Reservation" — a created order that is awaiting payment by the Buyer.
- 1.6. "Reservation period" — the period from the moment an order is created until it is paid, set by the Seller in the system separately for each event, during which the tickets included in the order are unavailable to other persons.
- 1.7. "Order" — one or more tickets for one event selected by the Buyer in the system and combined under one identification number.
- 1.8. "Event" — a sports competition or other event that can be attended only with a ticket and/or electronic ticket.
- 1.9. "Offer" — this event ticket sales agreement (Public offer at metalist1925.club), published at https://metalist1925.club and/or available on request to the Buyer at ticket sales points.
- 1.10. "Buyer" — an individual or legal entity that uses the Seller's services for reserving and issuing tickets under the terms of this offer.
- 1.11. "Ticket recipient" — an individual authorized by the Buyer to receive the purchased ticket in accordance with the terms of this offer.
- 1.12. "Seller" — a legal entity that has the right to sell tickets and organize events on the basis of relevant agreements.
- 1.13. "System" — the metalist1925.club automated information system, a software suite intended for ticket reservations, consisting of the metalist1925.club web portal and an internal business process automation system that provides protection against unauthorized access, identification, recording and storage of ticket operations, as well as generation of unique ticket series and numbers.
2. Subject of the offer
- 2.1. This offer regulates the terms and procedure for ticket sales, as well as the rights and obligations of the Seller and the Buyer in this regard.
- 2.2. Ticket sales, including electronic tickets, are carried out exclusively under the terms of this offer subject to the Buyer's full and unconditional acceptance. Partial acceptance or acceptance on other terms is not permitted.
- 2.3. If the Buyer does not fully accept the terms of this offer, tickets will not be sold. Purchased tickets are non-refundable, including if the Buyer refuses the terms of the offer after acceptance and payment, except in cases provided for by this offer.
- 2.4. When tickets are purchased by a legal entity, payment is made by transferring funds to the Seller's bank account on the basis of an invoice issued by the Seller.
- 2.5. The Seller has the right to amend this offer; such changes are published and freely available on the Internet and at sales points. Continued use of the Seller's services after changes are made constitutes acceptance of the offer as amended.
- 2.6. The terms of this offer are valid for purchases through the metalist1925.club website and at sales points and do not depend on the payment method.
- 2.7. The Seller has the right to terminate the agreement with the Buyer in case of violation of the terms of the offer.
- 2.8. This offer takes effect from the date it is posted on the Seller's website and remains in force indefinitely.
3. General provisions
- 3.1. The subject of the offer is the provision to the Buyer of services for reserving, issuing, selling and, for an additional fee, delivering event tickets, as well as pre-ordering season tickets in accordance with the terms of this offer (hereinafter referred to as the Services).
- 3.2. During order placement, the Buyer provides personal data (last name, first name, gender, contact phone number, city, delivery address if delivery service is available, and email address). Personal data are processed in accordance with the legislation of Ukraine. The Buyer warrants that the data provided are voluntary and truthful.
4. Acceptance rules
- 4.1. The offer is considered agreed and the agreement between the Buyer and the Seller is deemed concluded after the sequential actions listed in clause 4.3 of this offer are performed (acceptance).
- 4.2. Before acceptance, the Buyer must ensure that all terms of the offer are clear and fully acceptable.
- 4.3. Acceptance takes place by sequentially performing the following actions:
- visiting a sales point and/or the Seller's website and/or calling the contact center;
- selecting a specific event and ticket category;
- reviewing the terms of this offer;
- providing contact details, the first and last name of the electronic ticket recipient, and, if necessary, the delivery address and delivery time.
- 4.4. After completing clause 4.3, the Buyer pays for the order in accordance with the chosen payment method and the time limits set out in the payment rules for the specific event.
- 4.5. After paying for the order, the Buyer prints the electronic ticket or stores it on a device for presentation at the entrance, provided that the device supports displaying the document for scanning by the access control system.
5. Payment procedure
- 5.1. The Buyer may pay using any of the methods offered by the Seller; information about payment methods is available on the Seller's website.
- 5.2. A payment is considered completed at the moment the bank or payment system confirms a successful transaction, or when the funds are received at the sales cash desk.
- 5.3. When paying by bank card, the Buyer must use a card issued in their own name. The cashier at the sales point has the right to request proof of identity (passport or driver's license).
- 5.4. An electronic ticket may be obtained by the Buyer only if the order is placed on the Seller's website and paid for by cashless payment as described on the website.
- 5.5. After the order is paid, it is considered sold and the Buyer acquires the right to attend the event.
- 5.6. If the order is not paid during the reservation period, it is considered unsold and canceled.
6. Refunds
- 6.1. Funds received by the Seller as payment for a ticket or electronic ticket are refunded to the Buyer only if the event is canceled, replaced, or rescheduled, provided that the Seller supplies the relevant official decision.
- 6.2. Refunds are possible only upon the actual return of the purchased ticket by the Buyer, unless otherwise provided by this offer.
7. Rights and obligations of the parties
- 7.1. The Buyer has the right to:
- 7.1.1. Receive information about ticket prices and service fees of other official operators for comparison.
- 7.1.2. Receive information about ticket sales rules, available categories, and other event information published by the Seller.
- 7.1.3. Choose a payment method from those available on the website and at sales points.
- 7.1.4. Send feedback about the Seller's work using the contact details provided on the website.
- 7.1.5. Decline to purchase a ticket before the order is paid; such refusal terminates the Seller's obligations to complete the sale for the Buyer.
- 7.2. The Buyer is obliged to:
- 7.2.1. Review the ticket purchase rules and the terms of this offer and comply with them.
- 7.2.2. When placing an order, provide correct, accurate, and complete information about themselves. The Buyer is responsible for the data provided during checkout.
- 7.2.3. Pay the full amount of the placed order.
- 7.2.4. Comply with the Stadium rules.
- 7.3. The Seller has the right to:
- 7.3.1. Require the Buyer to follow the order placement and payment procedure.
- 7.3.2. Refuse to sell a ticket if the Buyer declines the terms of the offer.
- 7.3.3. Perform maintenance, temporarily suspend the website, or make changes to the system software if malfunctions are detected or for preventive purposes.
- 7.3.4. Set and change service rates unilaterally.
- 7.3.5. Require full payment for a ticket before selling it.
- 7.3.6. Cancel an order if it is not paid during the reservation period; a canceled order cannot be restored, except by the Buyer creating a new order.
- 7.3.7. Terminate the provision of services if the Buyer violates the terms of the offer.
- 7.4. The Seller is obliged to:
- 7.4.1. Provide the Buyer with information about the specific event, the checkout process, payment, and refunds in case the event is canceled or rescheduled.
- 7.4.2. Not use the Buyer's personal data for unauthorized distribution of materials unrelated to the placed order.
8. Liability
- 8.1. In the event of non-performance or improper performance of obligations, the parties shall be liable in accordance with the legislation of Ukraine and the terms of this offer.
- 8.2. The Seller's liability is limited to organizing and carrying out ticket sales.
- 8.3. The Seller is not liable for the Services not meeting the Buyer's expectations and provides no additional warranties beyond those stipulated in this offer.
- 8.4. The Buyer bears commercial risks associated with errors or inaccuracies in the personal data provided by them.
- 8.5. The Seller is not liable for losses or moral damage arising from the Buyer's misunderstanding of information about the order placement or payment procedure.
- 8.6. The parties are released from liability for failure to perform obligations in the event of force majeure circumstances (natural disasters, military actions, strikes, civil unrest, decisions of public authorities, etc.).
- 8.7. The Seller is not responsible for the operability or security of the communication channels used by the Buyer to access the website, or for the preservation of information on the Buyer's devices.
- 8.8. Claims related to this offer must be submitted in writing within 10 calendar days from the date they arise. After this period, claims will not be considered.
9. Specific provisions regarding the electronic ticket
- 9.1. When purchasing an electronic ticket, the Buyer must provide a valid email address, phone number, and the ticket recipient's first and last name. If necessary, passport details may be required in accordance with the law.
- 9.2. The Buyer is responsible for providing a false or invalid email address.
- 9.3. The electronic ticket is sent to the specified email address only after the order has been paid in accordance with the terms of this offer.
- 9.4. The Buyer prints the electronic ticket at their own expense and is responsible for print quality; if there are printing problems, the Seller may deny entry to the event.
- 9.5. The Buyer has the right to present the electronic ticket from the memory of a device if the device allows it to be displayed for scanning by the access control system.
- 9.6. The Buyer is solely responsible for protecting the electronic ticket from copying; in the event of duplication, access is granted to the ticket presented first.
10. Dispute resolution
- 10.1. Disputes arising during the performance of the agreement under the terms of this offer shall be resolved with mandatory compliance with the claims procedure. A claim must be submitted to the Seller in writing, including the documents supporting the claim, no later than 10 calendar days from the date the dispute arises. The Seller reviews the claim within the period prescribed by law.
- 10.2. If an agreement cannot be reached, disputes shall be considered in accordance with the procedure established by the current legislation of Ukraine.
- 10.3. For all other matters, the parties shall be governed by the current legislation of Ukraine.
11. Term of the offer
- 11.1. This offer takes effect from the date it is posted on the Seller's website and remains in force indefinitely. The provisions of this clause apply to supplements and amendments to the offer.
